1. Acceptance of Terms

By accessing or using the DataCore Labs platform (“Platform”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you may not access or use the Platform.

These Terms constitute a legally binding agreement between you and DataCore Labs (“Company,” “we,” “our,” or “us”).

2. Description of the Platform

DataCore Labs provides software infrastructure that allows users to deploy algorithmic trading strategies and AI-driven agents in digital asset markets.

The Platform enables users to:

• access quantitative trading strategies

• deploy AI trading agents

• execute trades through integrated third-party exchanges and decentralized trading protocols

• monitor trading activity and performance

The Platform operates as non-custodial software infrastructure. DataCore Labs does not take custody of user funds or digital assets.

All trading activity is executed using user-connected wallets, accounts, or third-party integrations.

3. Delegated Execution Authority

By enabling automated strategies or AI agents on the Platform, you authorize the Platform to execute trades on your behalf according to the selected strategy parameters.

AI trading agents may:

• execute buy or sell transactions

• adjust positions

• rebalance allocations

• close positions

These actions may occur without further manual approval from the user once automation is enabled.

Users acknowledge that automated execution may result in trades occurring rapidly and under volatile market conditions.

4. Non-Custodial Structure

DataCore Labs does not custody or control user assets.

All assets remain under the control of the user’s connected wallet, exchange account, or blockchain address.

DataCore Labs cannot:

• withdraw user funds

• transfer assets outside of executed trades

• access private keys

Users are solely responsible for the security of their wallets and credentials.

5. No Financial Advice

The Platform provides technology tools for automated trading.

Nothing on the Platform constitutes:

• financial advice

• investment advice

• trading advice

• a recommendation to buy or sell any asset

All strategies, analytics, and AI systems are provided for informational and execution purposes only.

Users are solely responsible for their trading decisions and financial outcomes.

6. Risk Disclosure

Trading digital assets involves substantial risk.

You acknowledge that:

• digital asset markets are highly volatile

• automated trading systems may behave unpredictably

• market conditions may change rapidly

• liquidity may disappear during extreme conditions

• algorithmic systems may experience errors or delays

Use of the Platform may result in the loss of all capital deployed.

DataCore Labs does not guarantee:

• profitability

• strategy performance

• protection from loss

Past performance of strategies or AI systems does not guarantee future results.

7. Fees and Billing

The Platform may charge fees including:

Subscription Fees

Users may pay recurring monthly fees for access to the Platform or certain strategies.

Transaction Fees

DataCore Labs may charge a percentage fee based on trading volume executed through the Platform.

Fees may be deducted automatically through platform integrations where applicable.

All fees are disclosed prior to use of the relevant services.

8. Third-Party Integrations

The Platform may integrate with third-party services including:

• blockchain networks

• decentralized exchanges

• liquidity aggregators

• market data providers

DataCore Labs does not control these services and is not responsible for:

• exchange outages

• protocol failures

• blockchain congestion

• third-party software bugs

Use of these services is subject to their own terms and conditions.

9. User Responsibilities

Users agree to:

• maintain the security of their accounts and wallets

• ensure that use of the Platform complies with applicable laws

• avoid manipulating markets or engaging in unlawful trading practices

Users are responsible for any activity conducted through their accounts or connected wallets.

10. Limitation of Liability

To the maximum extent permitted by law, DataCore Labs shall not be liable for:

• trading losses

• market volatility

• strategy performance

• AI decision outcomes

• exchange outages

• blockchain network failures

The Platform is provided “as is” without warranties of any kind.

11. Indemnification

Users agree to indemnify and hold harmless DataCore Labs from any claims arising from:

• use of the Platform

• trading activities

• violations of applicable laws

• misuse of automated trading systems

12. Termination

DataCore Labs reserves the right to suspend or terminate access to the Platform at any time for:

• violations of these Terms

• suspected fraudulent activity

• regulatory concerns

13. Changes to the Terms

We may update these Terms from time to time.

Continued use of the Platform after updates constitutes acceptance of the revised Terms.

14. Governing Law

These Terms shall be governed by the laws of the jurisdiction in which DataCore Labs operates, without regard to conflict of law principles.
